• 1.1 “You” or “Member” or “EBL SKYCOINS Accountholder” means a premium category EBL Credit Cardholder who has been enrolled into the program as provided in item 1.5 below;
• 1.2 “EBL SKYCOINS” means rewards earned and accumulated as provided in item 4 below;
• 1.3 “Bank” means Eastern Bank PLC. (EBL);
• 1.4 “Parties” means EBL SKYCOINS Accountholder and the Bank collectively; and individually as ‘Party’
• 1.5 “Premium category EBL Credit Cardholder” means EBL Credit Cardholder(s) who hold(s) EBL Credit Card(s) equivalent to Visa Platinum and above categories, Mastercard, Diners Club International and UnionPay Credit Card. Provided that the mentioned categories will not be considered as premium category EBL Credit Cardholder if the cardholder(s) has/have EBL Corporate Credit Card or if the cardholder(s) is/are enrolled with any other existing EBL Reward Program.
• 1.6 “EBL SKYCOINS Relationship” or “Membership” means if anyone has a premium category EBL Credit Card which has been mentioned above.
• 1.7 “EBL SKYCOINS Transactions” mean only the retail purchase transactions (POS and E-commerce) made by the cardholder with his/her premium category EBL Credit Card and the transactions must be settled to be considered for EBL SKYCOINS enrollment and accrual. Here, no premium category EBL Credit Cardholders will be enrolled and no EBL SKYCOINS will be accrued/added for the retail purchase transaction (POS and E-commerce) if that is related to any Digital Wallet or e-Wallet or Mobile Financial Service or Mobile Banking App whether it is local or international.
• 1.8 “EBL SKYCOINS Account” or “Account” means the account reflecting all EBL SKYCOINS Transactions for a particular EBL SKYCOINS Accountholder in EBL’s records, including earned EBL SKYCOINS, adjusted EBL SKYCOINS, bonus EBL SKYCOINS, redeemed EBL SKYCOINS, expired EBL SKYCOINS and any other if applicable.
• 1.9 “Closing of the Membership” means the closing of the EBL SKYCOINS Account in case of a customer closes all of his Credit Card(s) of EBL or any of his/her EBL Credit Card gets written off.
• 1.10 “Payment Due Date” means the date specified in the Credit Card Statement by which payment of the current outstanding or any part thereof or the Minimum Amount Due is to be paid to the Bank.
• 1.11 “Minimum Amount Due” is a minimum amount specified by the Bank in the Credit Card Statement which if paid by the Payment Due Date will avoid any late payment charges.
• 1.12 “DPD” means Days Past Due. It is the number of days since the Payment Due Date a customer has not paid his/her minimum amount due.
• 1.13 “Classified” means if any Credit Card has 90 DPD or more.
• 1.14 “Website” means the EBL SKYCOINS Website which is hosted in skycoins.ebl.com.bd
• 1.15 “Account” means EBL SKYCOINS Account.
• 1.16 “EBL SKYCOINS rate” means the number of EBL SKYCOINS that will be earned in respect of each EBL SKYCOINS Transaction and each EBL SKYCOINS Relationship.
• 1.17 “EBL SKYCOINS Statement” means a set of record of EBL SKYCOINS activity for each EBL SKYCOINS Accountholder for a specific period.
• 1.18 “EBL Records” means any information included in the books/systems of EBL.
• 1.19 “Redemption” means the exchange of EBL SKYCOINS for air tickets/hotel booking/car rental booking or other specific merchandise.
• 1.20 “Merchants” or “Participating Properties” are operational partner and/or the redemption partners for EBL SKYCOINS.
• 1.21 “Commercial use” means if EBL finds that a cardholder uses his/her EBL Credit Card(s) for making repetitive retail purchase transactions at his/her favorable merchants without the intention of purchasing any product. EBL holds the right to declare any transaction as a commercial transaction on the basis of investigation.
• 1.22 “Program Rules” means terms and conditions for EBL SKYCOINS and together with any other terms and conditions, rules, or regulations incorporated therein or referred to anywhere to be eligible as EBL SKYCOINS Accountholder.
• 1.23 “T&C” means Terms and Conditions under which EBL is offering the EBL SKYCOINS benefits/facilities to the EBL SKYCOINS Accountholders.

• 2.1 The terms and conditions set out herein ("EBL SKYCOINS Terms and Conditions") are applicable to EBL SKYCOINS and, by becoming a EBL SKYCOINS Accountholder, the EBL SKYCOINS Accountholder agrees to be bound by the EBL SKYCOINS Terms and Conditions, as the same may be amended, supplemented, updated, replaced or otherwise varied by EBL from time to time and this document will be available in skycoins.ebl.com.bd for the EBL SKYCOINS Accountholder.
• 2.2 All determinations of opinion or fact to be made by EBL under these terms and conditions shall be made by EBL, at its absolute discretion and, in the case of facts, on the basis of EBL Records, and each such determination shall be final, conclusive and binding on the EBL SKYCOINS Accountholder.
• 2.3 EBL reserves the right, at any time, at its absolute discretion, without notice and without liability whatsoever on its part, to supplement, amend, replace, delete or otherwise vary any of the terms and conditions, including the Cards Schedules of Charges, as well as the terms and conditions of any other policy referred to in the Terms and Conditions, and to change, vary, modify, terminate or cancel EBL SKYCOINS or any of its benefits or features, or otherwise do any other act with respect to the whole or any part of EBL SKYCOINS, or to withdraw or change the membership criteria and/or to limit or change the value/validity of EBL SKYCOINS and/or the manner of redemption on, EBL SKYCOINS. By becoming an EBL SKYCOINS Accountholder, he/she acknowledges and accepts that the above acts may diminish the redemption value of EBL SKYCOINS already earned and agrees that he/she shall not be entitled to claim compensation for any such loss in value.
• 2.4 By becoming an EBL SKYCOINS Accountholder, he/she acknowledges and agrees:

a) that the terms and conditions, as well as other information regarding EBL SKYCOINS, are published and may be accessed online at skycoins.ebl.com.bd

b) to keep updated with the most up-to-date and current version.

• 2.5 In addition to these terms and conditions, each EBL SKYCOINS Accountholder continues to be subject to the EBL Credit Card Terms and Conditions and the terms and conditions applicable to the relevant EBL Credit Card product which made him/her eligible for participation in EBL SKYCOINS and some other terms and conditions as may be included by EBL from time to time, which are incorporated by reference herein and copies of which shall be provided to the EBL SKYCOINS Accountholder upon request.
• 2.6 To the extent that there is any conflict between the terms and conditions contained in this document, excluding the terms and conditions incorporated by reference into this document, and any other specific additional terms and conditions relating to EBL SKYCOINS:

a) the specific additional terms and conditions shall prevail over the terms and conditions of this document; and

b) the terms and conditions incorporated by reference into this document shall prevail over the terms and conditions of this document.

• 3.1 Membership of EBL SKYCOINS is automatic for premium category EBL Credit Cardholders when he/she makes an EBL SKYCOINS Transaction and not any of his Credit Cards can be in write- off status or in classification status and both of his valid mobile number and valid email address should be registered with EBL and otherwise not in breach of any terms and conditions relating to such EBL SKYCOINS Relationship as determined by EBL. Membership is free and members will get automatic email and SMS once they are enrolled. Members must activate their EBL SKYCOINS Account to redeem their earned EBL SKYCOINS. EBL SKYCOINS are only redeemable through the EBL SKYCOINS Website.
• 3.2 Once enrolled, membership of EBL SKYCOINS is limited to the DPD count of the Credit Cardholder. If any of the Credit Card of the client has DPD 90 or more, the membership will be suspended for the time being. Client must ensure that all of his Credit Cards are under 90 DPD to use the EBL SKYCOINS membership.
• 3.3 Membership of EBL SKYCOINS is non-transferable.
• 3.4 EBL reserves the right, at any time, at its absolute discretion, without notice and without liability whatsoever on its part, to withdraw or discontinue any one or more of the EBL SKYCOINS Relationships or EBL SKYCOINS Transactions and terminate membership on EBL SKYCOINS and revoke any accrued EBL SKYCOINS.
• 3.5 Membership of EBL SKYCOINS is automatically terminated upon the death, bankruptcy, detecting the activities relating to Anti Money Laundering, terrorist financing, closing of the client, write-off of any of the Credit Card or unsatisfactory conduct of the EBL SKYCOINS Accountholder as determined by EBL.
• 3.6 Upon termination of membership, all EBL SKYCOINS accrued in the EBL SKYCOINS Account shall be immediately forfeited and cancelled by EBL. EBL may also delete the terminated EBL SKYCOINS Account on the EBL SKYCOINS Website. Once deleted, EBL SKYCOINS on the EBL SKYCOINS Website can’t be retrieved again.

• 4.1 EBL shall determine, from time to time, at its absolute discretion:

4.1.1 which EBL SKYCOINS Relationships are eligible for inclusion in EBL SKYCOINS;

4.1.2 which EBL SKYCOINS Transactions are eligible for inclusion in EBL SKYCOINS;

4.1.3 what EBL SKYCOINS rate will be applicable for earning EBL SKYCOINS;

4.1.4 the number of EBL SKYCOINS required for redemption;

• 4.2 In case of a reversal of any EBL SKYCOINS Transaction, EBL SKYCOINS credited to the EBL SKYCOINS Account as a result of such EBL SKYCOINS Transaction will be deducted from the accrued EBL SKYCOINS credit balance. Debit of the Account may not be related to particular credit of the balance. Reversal in the time of a bonus campaign may debit the Account according to the bonus campaign criteria rather than at the regular EBL SKYCOINS rate and vice versa.
• 4.3 EBL from time to time and, at its absolute discretion, may decide that no EBL SKYCOINS may be earned during a promotion, special offer or other black-out period. EBL, at its sole discretion, without any prior notice, can withdraw EBL SKYCOINS from the Account.
• 4.4 Pursuant to Clause 4.1.1 to 4.1.3, EBL SKYCOINS earning criteria is given on the Website, and no EBL SKYCOINS shall be awarded retroactively. Schedule A sets out the list of further conditions attached to the earning of EBL SKYCOINS. EBL SKYCOINS earnings are calculated by rounding down the accrual value to the nearest integer.
• 4.5 EBL SKYCOINS are not assignable or otherwise transferable, and are not capable of being mortgaged, charged or pledged. EBL SKYCOINS of one EBL SKYCOINS Accountholder cannot be combined with those of another EBL SKYCOINS Accountholder.
• 4.6 In the event of a change to the status of an EBL SKYCOINS Relationship (such as an upgrade or downgrade), the future calculation of EBL SKYCOINS shall be adjusted by EBL accordingly.
• 4.7 EBL SKYCOINS shall be valid and usable within a period of three (3) years from the date of earning. Unless used prior to the expiration date, EBL SKYCOINS shall expire on such date which is given in the Website. Upon expiration, unused EBL SKYCOINS will be removed from the EBL SKYCOINS Account as of the expiration date and cannot be re-credited. It is the EBL SKYCOINS Accountholder's responsibility to be aware of both the number of EBL SKYCOINS available in his/her account and their expiration date. This can be monitored at any time online on the EBL SKYCOINS Website.
• 4.8 If an EBL SKYCOINS Accountholder has outstanding liability to the Bank on any EBL Credit Card which may or may not be linked to his/her EBL SKYCOINS Account, which is DPD 90 or more, then such EBL SKYCOINS Accountholder shall not be entitled to redeem any EBL SKYCOINS until (a) the outstanding liability has been settled in full or to the required amount and (b) the state of the Credit Card Account has been re-instated to the regular one.
• 4.9 If an EBL SKYCOINS Accountholder has outstanding liability to the Bank on any EBL Credit Card which may or may not be linked to his/her EBL SKYCOINS Account, which gets written off, then EBL shall be entitled, at its absolute discretion and without any further notice, to cancel/terminate the membership of the EBL SKYCOINS and his/her EBL SKYCOINS will be deleted from the EBL SKYCOINS Account.
• 4.10 All fees, charges, taxes, duties, levy , AIT, and VAT or any other government or public utility fees applicable to EBL SKYCOINS shall be borne by the member and shall be paid directly to the concerned establishment by the member and EBL shall have no liability of any kind in relation thereto or if government requires/imposes, EBL shall have the right to deduct form the earned EBL SKYCOINS.
• 4.11 EBL SKYCOINS credited to the members account erroneously or by mistake or any technical disorder or error, or if it is detected that the transaction behind the earning of EBL SKYCOINS is in any way related to Anti Money Laundering and Terrorist Financing or commercial use or in any way that contradicts/violates the very essence of the reward program, shall be debited by EBL at its own discretion without notice or information to the member.

• 5.1 EBL SKYCOINS Summary will be made available in the form of an electronic or online summary on the My Account section of the EBL SKYCOINS Website to the EBL SKYCOINS Accountholder on a regular basis, the regularity to be determined by EBL. EBL SKYCOINS shall be transferred on a periodic basis as per the EBL SKYCOINS Relationship or EBL SKYCOINS Transaction activity into the EBL SKYCOINS Account for the purpose of accruing EBL SKYCOINS, the periodicity to be determined by EBL and EBL can change it at its own discretion. All the EBL SKYCOINS shall accrue and expire as described in these terms and conditions and as per any additional terms and conditions contained in the EBL SKYCOINS Summary.
• 5.2 Any manifest error in the EBL SKYCOINS Summary must be reported to EBL as soon as the EBL SKYCOINS Accountholder notices it.

• 6.1 Provided that the EBL SKYCOINS Relationship is active and in good standing as determined by EBL, EBL SKYCOINS may be redeemed (i) in exchange for air tickets, hotel booking, car rental booking or other specific merchandise, as may be published from time to time on the EBL SKYCOINS Website, or (ii) in any other manner as determined by EBL.
• 6.2 Only EBL SKYCOINS that are registered in and credited to the EBL SKYCOINS Account, at the time of redemption, are eligible for redemption as determined by EBL in accordance with EBL Records and, in the absence of manifest error, will be eligible for redemption. EBL SKYCOINS redemptions are calculated by rounding up the redemption value to the nearest integer.
• 6.3 The redemption of EBL SKYCOINS by each EBL SKYCOINS Accountholder is possible by logging into and using the EBL SKYCOINS Website. Any instruction conveyed to the EBL SKYCOINS Accountholder will be governed by the terms and conditions of the respective mode of redemption. EBL may, at its absolute discretion, act upon the instructions received through these modes of redemption.
• 6.4 In the case where EBL SKYCOINS are subtracted from the EBL SKYCOINS Account and it reduces or eliminates the accumulated EBL SKYCOINS resulting in a negative EBL SKYCOINS Account balance, EBL may, at its absolute discretion, either suspend delivery of the EBL SKYCOINS or either debit the equivalent cash value of the negative balance (at a rate determined by EBL) or use any subsequently accrued EBL SKYCOINS to offset the negative EBL SKYCOINS Account balance until such balance has returned to zero or positive.
• 6.5 EBL SKYCOINS redemptions are always subject to EBL SKYCOINS Terms and Conditions, the availability of the EBL SKYCOINS at the time of redemption and any restriction imposed by any supplier or issuer of the good or services. At any time and at its absolute discretion, EBL may, without notice or liability, cancel the EBL SKYCOINS and substitute the EBL SKYCOINS with another of comparable nature and value as determined by EBL.
• 6.6 Details of the EBL SKYCOINS are set out on the EBL SKYCOINS Website. Reasonable efforts have been made to ensure that the information contained in the EBL SKYCOINS Website for Goods and Services is accurate and have been collected from third parties. Thus, EBL shall not be held responsible, for any errors, inaccuracies or omissions appearing therein.
• 6.7 Redemption of air tickets, hotel stays, car rentals and other merchandise and or the issue of vouchers for the same at or from EBL’s authorized merchants are subject to the terms and conditions as may be prescribed by the issuer or supplier thereof from time to time.
• 6.8 Once issued/sold redemption of air tickets, hotel stays, car rentals and other merchandise and vouchers; cancellation, amendments, return, exchange or refund will be managed as per EBL SKYCOINS Booking Policy
• 6.9 Details of redemption of air tickets, hotel stays, car rentals and other merchandise or the issue of gift vouchers for the same are sent to the EBL SKYCOINS Accountholder’s registered email ID or mobile number in EBL Records. If the EBL SKYCOINS Accountholder wishes to have them sent to a different email ID or mobile number, the email ID or mobile number contained in the EBL Records must be updated prior to redeeming any EBL SKYCOINS. EBL will not be responsible for any redemption of air tickets, hotel stays, car rentals or other merchandise or the issue of a voucher sent to the wrong email ID, mobile number or delivery address or returned.
• 6.10 Notwithstanding anything mentioned herein, EBL shall not be held responsible in any manner whatsoever for damaged or defective goods or services as the subject of an EBL SKYCOINS.
• 6.11 EBL is entitled at any time, at its absolute discretion and without further notice, to adjust the EBL SKYCOINS Redemption Rate.
• 6.12 EBL SKYCOINS is not the right of the accountholder on account of a transaction, rather, it’s an additional bonus/award to the accountholder, as such the EBL SKYCOINS Accountholder covenant here that he/she shall not take resort of courts of law for enforcement of this T&C and offer provided by EBL hereunder.

• 7. All EBL SKYCOINS of a EBL SKYCOINS Accountholder shall be forfeited and shall be cancelled immediately and no additional or unprocessed redemption requests of EBL SKYCOINS shall accrue in the EBL SKYCOINS Account in the following circumstances each as determined by EBL: (a) all the EBL Credit Card have been closed; (b) any of the EBL Credit Card of the member gets written off; (c) breach of any of these terms and conditions and/or any other terms and conditions expressly incorporated by reference in these terms and conditions; or (d) any other material event or circumstance exists or (e) EBL SKYCOINS has been earned by transactions connected with, directly or indirectly, anti-money laundering activities and terrorist financing in any way.

• 8.1 EBL shall not be liable for losses, damages, expenses, claims or any other liability whatsoever, whether direct, indirect, consequential, incidental, special or punitive, sustained by an EBL SKYCOINS Accountholder as a result of the availability, non-availability, maintenance or operation of the EBL SKYCOINS Website, the redemption or delay in redemption of EBL SKYCOINS, possession and/or use of an EBL SKYCOINS, or in any other way arising from membership, or in connection with, EBL SKYCOINS, nor shall EBL be responsible or held liable for any amount payable by an EBL SKYCOINS Accountholder to any third party arising out of the purchase, supply, quality, installation, use or otherwise, of an EBL SKYCOINS, or of any negligence, breach of statutory or other duty on the part of EBL, any supplier, issuer, merchant and/or other person associated in any way, directly or indirectly, with EBL SKYCOINS.
• 8.2 EBL makes no representation and provides no warranty whatsoever, expressed or implied, and undertakes and assumes no liability whatsoever, in respect of the quality of any goods or services the subject of EBL SKYCOINS or their suitability or fitness for any use or purpose. All goods or services the subject of EBL SKYCOINS shall be accepted by the EBL SKYCOINS Accountholder at his/her own risk and peril.
• 8.3 Any personal liability arising out of the delivery or use of EBL SKYCOINS is solely the responsibility of the EBL SKYCOINS Accountholder.
• 8.4 EBL SKYCOINS Accountholder acknowledges and accepts that performance or non-performance or delay in performance by EBL of its undertakings hereunder due to technical error, non-availability of internet, electricity or mis-functioning of the program shall not make the EBL liable as it is an additional reward against transaction. And as such, the decision taken by EBL at its own discretion in relation to the offer and T&C governing the offer hereunder is absolutely final and EBL SKYCOINS Accountholder shall not take the recourse of law for its enforcement.

• 9.1 In the event of a breach by an EBL SKYCOINS Accountholder of these terms and conditions or of any applicable provisions in any terms and conditions incorporated by reference in these terms and conditions, or in the event of the failure on the part of an EBL SKYCOINS Accountholder to pay for any outstanding amount due to EBL within the prescribed time set by EBL or for any other reason whatsoever, EBL reserves the right, at its absolute discretion, to:

9.1.1 suspend/terminate the EBL SKYCOINS Accountholder’s membership on EBL SKYCOINS and close the EBL SKYCOINS Account;

9.1.2 refuse to award any future EBL SKYCOINS;

9.1.3 withdraw any EBL SKYCOINS earned;

9.1.4 settle or set-off the outstanding amount with the EBL SKYCOINS available on the EBL SKYCOINS Website and/or

9.1.5 refuse to permit the redemption of any EBL SKYCOINS.

• 9.2 Such action by EBL in respect of an EBL SKYCOINS Accountholder may result, in EBL’s absolute discretion, in the forfeiture of all of the EBL SKYCOINS Accountholder’s EBL SKYCOINS.

10.1 Governing Law

This T&C is under Laws of Bangladesh and exclusive jurisdiction of and in the courts of Bangladesh.

10.2 Subject to Law

Membership in the Program and the earning and redeeming of EBL SKYCOINS are subject to all applicable local laws and regulations. Membership in the Program, Member benefits, Redemption awards and promotional awards are offered in good faith; however, they may not be available if prohibited or restricted by applicable law or regulation in Bangladesh or Member’s jurisdiction of residence. If any part of these Program rules is held to be unlawful or unenforceable by the competent authority, that part will be deemed deleted from these Program Rules in such jurisdiction and the remaining provisions will remain in force.

10.3 Entire Agreement

The Program Rules, together with any other terms and conditions, rules, or regulations incorporated herein or referred to herein constitute the entire agreement between the EBL and Members relating to the subject matter hereof, and supersede any prior understandings or agreements (whether oral or written) regarding the subject matter, and may not be amended or modified except in writing or by making such amendments or modifications available on the Program Website.
